PTCL Telenor Merger CCP Approval- The Competition Commission of Pakistan (CCP) has finally approved the long-awaited acquisition of Telenor Pakistan by Pakistan Telecommunication Company Limited (PTCL) after 18 months of review.

CCP Chairman Dr Kabir Ahmed Sidhu called it “one of the most complicated transactions in the world” and said the approval comes with strict conditions to prevent monopoly and protect competition.
Telenor Merged into PTCL
PTCL will acquire 100% shareholding in Telenor Pakistan and Orion Towers. The deal has been approved on the condition that competition remains fair, consumers benefit from better services, and no anti-competitive practices are adopted.

At a press conference, CCP officials explained that they had carefully studied the market structure, risks, and international precedents before approving the merger. PTCL has accepted all conditions and must regularly report compliance to the CCP for the next five years.
Key conditions include:
- PTCL and Telenor must keep separate boards and management.
- CEOs and senior leadership must meet strict competency standards.
- An independent reviewer will monitor the merger and submit quarterly reports.
- No cross-subsidisation or unfair related-party transactions.
- Non-discriminatory access to interconnection and infrastructure for all telecom operators.
- No predatory pricing; PTA approval will be needed for wholesale pricing.
- PTCL must prove that efficiency gains benefit consumers through better services, pricing, and investments.
- The CCP can order divestiture if violations occur.

CCP members stressed that these measures will ensure fair competition, prevent market abuse, and protect consumers. The decision also supports innovation, including the rollout of 5G.

Telenor Asia welcomed the approval, calling it a key step toward strengthening Pakistan’s telecom sector. It said Telenor Pakistan will continue to serve its 43 million customers until the deal is fully completed after PTA’s approval.
